NCC Group, an international provider of escrow and assurance testing, has acquired Cheshire-based rival SDLC Solutions for £15 million in an all-cash transaction.
The deal, which is said to complement NCC's existing information security and testing capabilities, will allow the group to offer a wider variety of security assurance services.
An initial consideration of £7.75 million was paid in cash for the acquisition of SDLC, which will be followed by two payments totalling £7.25 million over the next 26 months, dependent on performance-related targets.
"Introducing our information security services and clients to SDLC's extensive expertise will further strengthen our position, whilst we will be able to provide a wider range of services to SDLC's client base," said Rob Cotton, group chief executive of NCC.
The news follows NCC's acquisition of Meridian Services International, a card services auditing and assurance company, which was completed earlier this month for £3 million in cash.
