Software firm Adobe Systems Incorporated has entered into a definitive agreement with Omniture to acquire the company.
In a transaction valued at approximately $1.8 billion (£1.1 billion) on a fully diluted equity-value basis, Adobe's subsidiary Snowbird Acquisition has commenced a tender offer to acquire all the outstanding common stock of Omniture for $21.50 (£13.45) per share in cash.
The acquisition deal is expected to allow Adobe to combijne its content creation tools and clients with Omniture's web analytics, measurement and optimisation technologies.
Additionally, Adobe has stated that the combinations of the two companies will increase the value it can deliver to designers, developers and online marketers.
Omniture recently released the latest version of Omniture SearchCenter, a piece of software which allows search engine marketers to test landing pages across campaigns and ad groups.
More than 50 percent of the Ad Age Top 50 interactive agencies currently use Omniture SearchCenter.
