Toshiba is in talks to merge part of its chip operations with the NEC Corporation's semiconductor unit, reports say.
A further major electronics company - Fujitsu - may also become involved in the possible merging of operations.
The talks come as the semiconductors industry starts to feel the pinch caused by the global economic downturn.
Manufacturers have faced tumbling sales, tough competition and a fall in demand, leading to mergers becoming much more financially attractive.
The talks centre on how Toshiba's chip operations could best be incorporated into NEC Electronics Corporation, a subsidiary of NEC.
Former Sony chairman Nobuyuki Idei, this week said that consolidation in the Japanese electronics sector is vital if the industry is to survive.
Speaking in an interview with the Financial Times, Mr Idei said: "In the past, Japan was criticised for being an over-banked country - now it is over-electronics."
